01Acceptance of Terms

These Terms of Service ("Terms") form a binding legal agreement between you and ClubLucky, Inc. ("ClubLucky," "we," "us," or "our") governing your access to and use of clublucky.ai, the ClubLucky mobile app, and any related services, content, and features (collectively, the "Service"). By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Capitalized terms not otherwise defined have the meanings given to them in these Terms or in our published documentation.

02Eligibility

You must be at least 13 years old to create your own account. Users between 13 and 17 (inclusive) may use the Service only as part of a Family Account established by a parent or legal guardian, subject to additional restrictions described in Section 4. By using the Service, you represent and warrant that:

• You meet the age requirements above;
• You have the legal capacity and authority to enter into these Terms;
• Your use of the Service does not violate any applicable law or regulation; and
• You are not a person previously suspended or removed from the Service.

Lucky Drop entry and prize eligibility are restricted to Members 18 years of age or older, in jurisdictions where such promotions are permitted by law. Additional eligibility requirements may apply per the Lucky Drop Official Rules published with each drop.

03Your Account

Registration

To access most features, you must register for an account by providing accurate, current, and complete information and keeping that information up to date. You are solely responsible for all activity under your account, including any messages sent and any purchases made.

Security

You agree to (a) maintain the confidentiality of your password and other credentials; (b) notify us promptly at hello@clublucky.ai of any unauthorized access; and (c) accept responsibility for losses arising from your failure to comply with this Section.

One account per person

Except in the case of a Family Account, each individual is permitted one account. We may suspend duplicate, automated, or fraudulent accounts at our discretion.

04Membership, Coins, and Billing

Tiers

The Service is offered in two tiers: a Free tier (no fee) and an Annual Membership ($48 per year, billed annually in advance). Specific included benefits are described on the Pricing page and may be updated from time to time, with material changes communicated in advance.

Coins

Coins are an in-Service token used to send notes and start Rallies. Coins have no cash value, are not redeemable for cash, are not transferable, and do not expire. Coins purchased through the Service are non-refundable except where required by law.

Auto-renewal

Annual Memberships automatically renew at the then-current price unless canceled before the renewal date. You may cancel at any time from your account settings; cancellation takes effect at the end of the then-current term, and you retain access until that date.

Refunds

Except where required by applicable law, paid Memberships and Coin purchases are final and non-refundable. We may offer refunds at our discretion in the case of duplicate charges, unauthorized transactions, or service errors.

Taxes

Prices displayed do not include taxes. You are responsible for any sales, use, value-added, or similar taxes imposed by your jurisdiction.

05Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right;
• Harass, threaten, defame, impersonate, or harm any person, including minors;
• Send unsolicited bulk messages, spam, or commercial solicitations;
• Upload malicious code, viruses, or other harmful content;
• Reverse-engineer, scrape, or otherwise extract data from the Service except as expressly permitted;
• Circumvent any technical limit, rate cap, or access control;
• Use automated means (bots, scripts) to interact with the Service without our written permission;
• Misrepresent your identity or affiliation; or
• Use the Service to facilitate gambling, illegal sales, or sweepstakes outside of Lucky Drop.

We may investigate and take any action we deem appropriate, including removing content, suspending or terminating accounts, and reporting to law enforcement.

06Content You Share

Your content

"Your Content" means anything you submit, post, transmit, or otherwise make available through the Service, including notes, Wall of Luck posts, profile information, and Rally messages. You retain all rights you have in Your Content.

License to ClubLucky

You grant ClubLucky a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, distribute, publicly display, and otherwise use Your Content solely for the purpose of operating, providing, improving, and promoting the Service. This license terminates when you delete Your Content, except (a) for backups retained for a reasonable period and (b) where Your Content has been shared with others who have not deleted it.

Wall of Luck

The Wall of Luck is a public surface. Anything you post there may be viewed and reshared by other Members and the public. Do not post anything you would not want associated with you publicly.

Reporting

You may report content that violates these Terms by emailing hello@clublucky.ai or using in-product reporting tools.

07Lucky Drop Rules

Lucky Drop is a monthly promotion in which seven Members are randomly selected to receive curated brand gifts. Participation is free, no purchase is necessary, and entry is by opt-in only. Detailed Official Rules are published with each drop, including eligibility criteria, prize descriptions, odds disclosure, selection process, prize fulfillment timelines, and applicable jurisdictional restrictions. By opting in, you agree to the Official Rules of that drop. Where Official Rules conflict with these Terms, the Official Rules of the specific drop control with respect to that drop only.

08AI-Generated Content

Portions of the Service generate text using artificial intelligence ("AI Content"). AI Content is provided "as is" and may contain inaccuracies. You are responsible for reviewing AI Content before sending it to a recipient and for the consequences of doing so. ClubLucky does not guarantee that AI Content is unique, factually accurate, or free from errors. AI Content is provided to you for use within the Service in accordance with these Terms.

09Intellectual Property

The Service, including its software, design, text, graphics, logos, the ClubLucky name and word mark, and all other content (excluding Your Content), is owned by ClubLucky or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. Subject to these Terms, ClubLucky grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. No other rights are granted by implication or otherwise.

10Suspension & Termination

You may stop using the Service and delete your account at any time from your settings. We may suspend or terminate your access, in whole or in part, immediately and without prior notice, if we reasonably believe you have violated these Terms or applicable law, or for protection of the Service or other users. Sections that by their nature should survive termination (including Sections 6, 9, 11, 12, 13, 14, 15, and 17) will survive.

11Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN SUCH JURISDICTIONS, SUCH EXCLUSIONS APPLY ONLY TO THE EXTENT PERMITTED.

12Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CLUBLUCKY, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. CLUBLUCKY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID CLUBLUCKY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED U.S. DOLLARS ($100).

13Indemnification

You agree to defend, indemnify, and hold harmless ClubLucky and its affiliates, officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

14Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The federal and state courts located in Delaware will have exclusive jurisdiction over any matter not subject to arbitration under Section 15.

15Disputes & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved through informal good-faith negotiation will be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an individual action in small claims court. The arbitration will take place in Delaware, in English, before a single arbitrator. You and ClubLucky agree that disputes will be resolved on an individual basis only and not as a class, collective, or representative action. If any portion of this Section is held unenforceable, the remainder will be given full effect.

You may opt out of this arbitration provision by emailing hello@clublucky.ai within 30 days of first accepting these Terms.

16Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-product notice at least 14 days before the changes take effect, except where a shorter period is required by law or to address a security or legal issue. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
